These Terms of Service (“Terms”) govern your access to and use of www.doughp.com and any related sites, services, and sales operated by Doughp Inc. (“Doughp,” “we,” “us,” or “our”).

By accessing the site, creating an account, or purchasing products, you agree to these Terms. If you do not agree, do not use the site.

Our store is hosted on Shopify Inc. They provide the e-commerce platform that allows us to sell our products and services to you.


1. ELIGIBILITY & ACCOUNT

  • You represent you are the age of majority in your state or province, or you have parental consent.

  • You are responsible for account credentials and all actions under your account. Notify us promptly of any unauthorized use.

2. USE OF THE SITE

  • Do not use the site for unlawful purposes; do not interfere with security or the operation of the site.

  • You must not upload malicious code or attempt to access non-public areas.

  • We may suspend or terminate access for violations.

3. PRODUCTS; PRICING; AVAILABILITY

  • Products, descriptions, and prices may change without notice.

  • We may limit or cancel quantities per order, per person, per household, or per address.

  • Colors and images may vary by display. We do not warrant that your device accurately displays colors.

4. ORDERS; BILLING; FRAUD SCREENING

  • You agree to provide current, complete, and accurate purchase and account information and to promptly update it.

  • We may refuse or cancel orders for reasons including suspected fraud, payment issues, or product availability.

  • For any change or cancellation, we may contact you using the information provided with your order.

5. SHIPPING; RISK OF LOSS (PERISHABLE GOODS)

  • Perishable Products. Cookie dough and related items may be temperature-sensitive. We ship with methods intended to preserve quality during normal transit; however, risk of loss and title pass to you upon our delivery to the carrier.

  • You are responsible for timely receipt at the shipping address provided. We are not responsible for delays or damage caused by carrier handling, incorrect addresses, or failure to retrieve packages.

  • Refunds/replacements follow our Happiness/Returns Policy referenced on the site.

6. SUBSCRIPTIONS (IF APPLICABLE)

  • If you enroll in a subscription (e.g., “Secret Dough Club”), you authorize recurring charges at the stated interval to the payment method on file until you cancel.

  • You can cancel in your account portal or by contacting support as stated on the site. Cancellations apply prospectively and must be made before the next renewal date to avoid the next charge/shipment.

7. PROMOTIONS; GIFT CARDS; STORE CREDIT

  • Promotions are subject to terms stated in the offer and may change or end without notice.

  • Gift cards/store credit are not redeemable for cash (except as required by law), are non-refundable, and we are not responsible for lost or stolen cards.

8. OPTIONAL TOOLS & THIRD-PARTY LINKS

  • We may provide access to third-party tools “as is” and “as available” without warranties or control. Your use is at your own risk and subject to those providers’ terms.

  • Third-party links may lead to unaffiliated sites. We are not responsible for their content, policies, or practices.

9. USER CONTENT; REVIEWS; LICENSE

  • If you submit reviews, photos, comments, or other content (“User Content”), you grant Doughp a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, publish, translate, and display such content in any media for marketing, promotion, and customer feedback purposes.

  • You represent you own or control rights to your User Content and it does not infringe others’ rights or violate law.

  • We may remove or edit content that, in our discretion, violates these Terms.

10. INTELLECTUAL PROPERTY

  • The site, its content, logos, and trademarks are owned by Doughp or its licensors and are protected by IP laws.

  • You may not copy, modify, distribute, create derivative works, or exploit any part of the site except as expressly permitted.

11. PRIVACY; COOKIES; CONSENT

  • Your submission of personal information through the store is governed by our Privacy Policy (see site footer).

  • Non-essential cookies and tracking technologies load only after your consent, and you may manage preferences via the Cookie Settings link in the footer.

12. ELECTRONIC COMMUNICATIONS; CONSENT TO CONTACT

  • You consent to receive communications (e.g., order confirmations, service messages) electronically.

  • Marketing emails/SMS are sent only after opt-in and can be opted out as described in our Privacy Policy and SMS terms.

13. DISCLAIMER OF WARRANTIES

  • The site and all products and services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.

  • We do not warrant uninterrupted, timely, secure, or error-free operation.

14. LIMITATION OF LIABILITY

  • To the maximum extent permitted by law, Doughp and its officers, directors, employees, agents, suppliers, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; or loss of profits, revenues, data, or goodwill, arising from or related to your use of the site or products, even if advised of the possibility.

  • In any event, our total liability for claims arising out of or relating to the site or products will not exceed the amount you paid to Doughp for the product or service at issue in the 12 months preceding the claim.

15. INDEMNIFICATION

  • You agree to indemnify, defend, and hold harmless Doughp and its affiliates, officers, directors, employees, and agents from any claim, demand, or expense (including reasonable attorneys’ fees) arising out of your breach of these Terms, applicable law, or third-party rights.

16. PRE-SUIT NOTICE & 30-DAY CURE (MANDATORY)

  • Before initiating any lawsuit or proceeding against Doughp arising out of or relating to the site, products, or these Terms, you agree to first provide written notice of the claim to compliance@doughp.com with the subject line “Pre-Suit Notice,” describing the nature and basis of the claim and the relief sought.

  • Doughp will have 30 days from receipt to respond and, if applicable, to cure or propose resolution.

  • This section is intended to reduce unnecessary disputes and costs; failure to follow it may be grounds for dismissal or stay of any action.

17. GOVERNING LAW; VENUE; JURY WAIVER; CLASS WAIVER (IN COURT)

  • These Terms and any dispute or claim (contract, tort, or otherwise) are governed by the laws of the State of Nevada, without regard to conflict-of-law rules.

  • Exclusive venue for all disputes is the state or federal courts located in Clark County, Nevada. You consent to personal jurisdiction there.

  • Jury Trial Waiver. To the fullest extent permitted by law, you and Doughp waive any right to a jury trial.

  • Class/Representative Action Waiver (in court). Claims must be brought in an individual capacity; no class, consolidated, or representative actions or proceedings in court.

18. TIME LIMIT TO BRING CLAIMS

  • Any claim arising out of or related to the site, products, or these Terms must be filed within one (1) year after the cause of action accrues, or such claim is permanently barred, to the fullest extent permitted by law.

19. CHANGES TO TERMS

  • We may update these Terms by posting a revised version with a new “Last Updated” date. Changes apply prospectively from posting. Your continued use after changes constitutes acceptance.

20. SEVERABILITY; NO WAIVER; ENTIRE AGREEMENT

  • If any provision is unlawful or unenforceable, it will be enforced to the maximum extent and severed as needed; the remainder remains in effect.

  • Our failure to enforce any provision is not a waiver.

  • These Terms, together with policies referenced on the site (including the Privacy Policy), constitute the entire agreement between you and Doughp regarding the site and products and supersede prior agreements.
